These Terms and Conditions (“T&Cs”) govern your use of the Posse platform available at www.posse.africa (the “Platform”). By registering an account or using any part of the Platform, You (referred to hereafter as “Brand” or “You”) agree to be bound by these T&Cs. Please read them carefully.
1. Definitions
Posse: Refers to the platform owned and operated by Posse Africa.
Brand: Any company, marketing agency, business, or individual that signs up to Posse to create influencer campaigns and opportunities.
Influencer: A registered user on Posse who is engaged by Brands to provide marketing services via content shared through digital and social media.
Influencer Opportunity: A campaign brief or collaboration offer created by the Brand on the Platform to be shared with approved influencers.
2. Your Use of Posse
By signing up to Posse as a Brand, You agree that:
You have the authority to represent the company or entity associated with your account.
All information submitted during registration and campaign creation is true, complete, and up-to-date.
You will use the Platform solely for the purpose of discovering and working with influencers for marketing opportunities.
You are responsible for the content, budget, and details provided in your Influencer Opportunities, and that they comply with relevant laws and advertising regulations.
You will not engage in any misleading, discriminatory, or offensive content or behavior on the Platform.
3. Campaigns and Influencer Engagement
When you publish an Influencer Opportunity, You agree to the scope, deliverables, and payment terms described within it.
Once an Influencer applies and is accepted, this forms a binding agreement between You and the Influencer. Posse does not become a party to this agreement but facilitates the connection.
It is your responsibility to ensure timely delivery of any agreed products, services, or payments to the Influencer as per the Opportunity.
Posse may monitor Influencer compliance and assist in resolving disputes, but final responsibility lies with You and the Influencer.
4. Payments
All payments for Influencer Opportunities must be made via the Platform unless otherwise agreed.
Pricing is typically based on the Influencer Rate Card or as negotiated and agreed between You and the Influencer.
Failure to make payment or fulfill agreed terms may result in account suspension or removal.
5. Brand Commitments
By using the Platform, You agree to:
Treat all Influencers professionally and respectfully.
Avoid direct solicitation of Posse Influencers outside the Platform unless explicitly approved by Posse.
Keep all campaign communication and deliverables within the Platform to ensure quality control and transparency.
Provide all relevant campaign instructions, approvals, and feedback in a timely and constructive manner.
Not engage in campaigns that promote harmful, offensive, or discriminatory content.
6. Posse Services
Posse grants You a revocable, non-exclusive, and non-transferable license to use the Platform.
Posse may refuse or terminate accounts at its discretion.
While Posse vets influencer profiles to the best of its ability, it is not responsible for the performance or behavior of Influencers outside of the Platform.
7. Case Studies & Marketing
Posse may request to include your brand and campaign results in anonymized or consented case studies for marketing purposes.
We will always seek written approval before public use of your name, logo, or campaign content.
8. Account Termination
You may request account closure at any time by emailing support through the Platform. Campaigns already in progress must be completed, including any pending deliverables or payments. Posse may also terminate or suspend your account for breach of these T&Cs or any applicable law.
9. Changes to Terms
Posse reserves the right to modify these T&Cs at any time. You will be notified via your registered email. Continued use of the Platform following updates constitutes acceptance.
10. Ownership and IP
All Platform content, branding, and infrastructure remain the exclusive property of Posse. Use of the Platform does not grant You ownership of any intellectual property belonging to Posse.
11. Limitation of Liability
Posse shall not be liable for:
Any disruption or downtime of the Platform.
Any indirect, incidental, or consequential damages.
Disputes or issues arising from your agreements with Influencers. You acknowledge that the Platform is provided “as-is” and You use it at your own risk.
12. General Liability
You are responsible for ensuring your campaigns and instructions comply with relevant advertising, intellectual property, and data protection laws.
You agree to indemnify Posse for any damages resulting from your breach of these T&Cs or applicable laws.
1. Definitions
Posse refers to the Platform, tools, services, and all associated content operated by Impembelelo Pvt Ltd.
You / Agency refers to the individual, agency, or organisation registering and acting on behalf of one or more brands using the Platform.
Brand refers to a company, product, service, or organisation that you, as the Agency, represent.
Influencer Opportunity refers to a campaign or brief created on the Platform for Influencers to view and apply to.
Influencer refers to an individual or entity registered on Posse who provides content creation or marketing services via social media or digital platforms.
User Account refers to the secure login profile assigned to an Agency for access to the Platform.
2. Agency Role and Responsibilities
By registering on the Platform, you confirm that:
You have the authority to act on behalf of the brands you represent and to accept these T&Cs on their behalf.
You will use the Platform solely to create, manage, and monitor Influencer Opportunities on behalf of your represented brands.
You will accurately input brand details, ensuring correct attribution of Influencer Opportunities to the appropriate brand entity.
You will ensure all communication with Influencers remains professional, appropriate, and within the scope of agreed Opportunities.
You will not use the Platform to promote any offensive, misleading, illegal, or discriminatory content.
You agree not to solicit Influencers for off-platform collaborations initially introduced via Posse, without express written permission.
3. Account and Platform Access
Upon approval, Posse will provide you with an Agency Account. You are responsible for maintaining the confidentiality of your login credentials.
Agencies are permitted to manage multiple brands under a single account, but each Opportunity must clearly identify the represented brand.
Posse reserves the right to approve or decline any Agency application at its discretion.
4. Use of the Platform
Agencies may:
Create Influencer Opportunities on behalf of represented brands.
View Influencer profiles and apply filters to find suitable creators.
Approve, manage, and track Influencer participation and deliverables.
Communicate with Posse for support, dispute resolution, or performance analysis.
Agencies shall not:
Misrepresent any brand or campaign.
Attempt to bypass Posse’s payment system to avoid commission or service fees.
Share private Influencer data outside the scope of the agreed campaign.
5. Influencer Agreements and Campaign Management
Once an Influencer applies and is accepted for an Opportunity, a binding agreement is formed between the Influencer and the represented Brand, facilitated by the Agency.
The Agency is responsible for managing the influencer relationship and deliverables throughout the campaign lifecycle.
Agencies must ensure that Influencers are compensated (in kind or monetarily) as agreed in the Opportunity brief.
6. Fees and Payments
All fees due to Influencers must be paid according to the terms agreed in each Opportunity.
Where Posse handles payment processing, the Agency agrees to settle all invoices or payment requests promptly to avoid campaign disruption.
Any failure to pay Influencers may result in suspension or termination of the Agency’s account.
7. Marketing and Case Studies
Posse may use anonymised campaign data and performance results for marketing purposes or case studies.
Any case studies involving specific Agency campaigns will only be published after confirmation and approval from the Agency.
8. Account Termination
You may request account termination by emailing support via the Platform. Termination will only be processed after the conclusion of any active Opportunities.
Posse may suspend or terminate your account at any time, with or without notice, in the event of:
Breach of these T&Cs
Misconduct, fraud, or unethical behaviour
Violation of applicable laws or industry standards
9. Changes to Terms
Posse reserves the right to amend these T&Cs at any time. Notice of changes will be sent to your registered email address.
Continued use of the Platform following such notification will be deemed acceptance of the updated terms.
10. Intellectual Property
All content, tools, software, logos, and branding associated with the Posse Platform are owned by Impembelelo Pvt Ltd.
Agencies may not reproduce, distribute, or use any part of the Platform for commercial purposes without prior written consent.
11. Limitation of Liability
Posse shall not be held liable for any indirect, incidental, or consequential damages arising from your use of the Platform.
Posse does not guarantee the performance or suitability of any Influencer. You are encouraged to conduct appropriate vetting before engaging any Influencer.
Platform downtime or technical issues may occur from time to time. Posse is not liable for any disruption arising from such events.
12. Indemnity
The Agency agrees to indemnify and hold harmless Posse from any claims, losses, damages, or expenses arising from misuse of the Platform or breach of these T&Cs, including but not limited to:
Misrepresentation of a brand
Late or non-payment to Influencers
Unauthorised or unethical campaigns
13. Governing Law
These T&Cs shall be governed by and construed in accordance with the laws of Zimbabwe. Any disputes shall be subject to the exclusive jurisdiction of the courts of Zimbabwe.
Terms and Conditions
Posse is defined as the Platform and platform accessible via www.posse.africa (collectively known as ‘the Platform’. By accessing the Platform, You are agreeing to these terms. The following terms and conditions (the “T&Cs”) regulate Your access to and use of Posse. You – Any individual, person or body corporate who registers and creates an account with Posse through the Posse influencer registration form will be referred to as an “Influencer” and/or as “You”. An “Influencer” is defined as an individual or company who creates content which is published through a newspaper, journal, blog, Platform or any social media outlet. An Influencer is any individual, person or body corporate who has an above-average media presence which is used to attract, influence and market towards specific and/or generic consumer group, from time to time. All capitalised terms shall be assigned the meaning ascribed to it in the text of the particular term, of or as defined in the Definitions term. You have come to the Platform to with the scope of being engaged to carry out marketing services and/or activities that include but are not limited to:
- Being available to a number of Brands who may wish to offer their Opportunity to You for the provision of Your services;
- Being Engaged by a Brand to carry out any particular Opportunity;
- Following Your performance as an Influencer in relation to each Opportunity agreed between You and the Brand via Posse;
In order to achieve this Posse shall assist by:
- Notifying You of approval to work with a Brand after applying to an Opportunity
- Ensuring You receive product and/or money in exchange for post from Brand
Influencer Commitments
By signing up to our Platform and accepting these T&Cs, You confirm and warranty that:
- You have the authority and capacity to undertake this legal and binding obligation;
- All the information submitted in the Influencer registration and profile forms is true, accurate and up to date.
- You are either acting in Your personal capacity and/or the owner of the public persona/media outlet which You shall use in order to promote and/or market the Brands by means of the services and/or activities engaged via Posse;
- If You are not the owner of the public persona/media outlet via which You intend to provide services for and/or activities using Posse, You have the full authorisation and/or consent of the owner of such public persona/media outlet to be engaged to provide services and/or activities using Posse.
- You shall hold Posse and/or the Brands harmless for any damages that they may incur due to Your actions and shall indemnify them for any damages which they may suffer as a consequence of Your actions.
- You assume full responsibility in relation to any industry-specific limitations on the marketing provided by You after being engaged via Posse.
- By applying for/accepting an Opportunity, You agree to be bound by the terms included in that Opportunity. As soon as You accept a Brand Opportunity, You and the Brand are bound by the terms of that Opportunity.
- You shall keep photographic evidence of all Opportunity posts and shall provide a copy of these to Posse within 48 hours from a request for such evidence. You are required to keep such evidence publicly available on your Instagram account at all times, unless removal by Posse and/or the Brand is otherwise requested.
- Should You withdraw from any Influencer Opportunity this would not impact the Your rights to receive product or payment in relation to services provided in accordance with the Influencer Opportunity terms prior to Your withdrawal from the Influencer Opportunity.
- You shall use the Platform in accordance with these T&Cs.
- You shall not directly solicit Influencer Opportunities from Brands introduced to You by Posse, or seek to otherwise be engaged by them directly for the provision of services similar to those offered via Posse and all contact with the same Brands shall be through communication initiated by Posse.
- You understand, accept and agree that the application and/or acceptance of any Influencer Opportunity is an agreement between You and the offering Brand. Additionally, you accept and agree that it is solely the Brand which has the obligation to provide You with any in-kind and/or monetary payment in accordance with the terms of the Influencer Opportunity. Posse’s obligation is limited to the processing of any in-kind and/or monetary payments in accordance with these T&Cs.
Posse Services
Upon our acceptance of You as an Influencer, and during the validity of such Account, You shall be granted a revocable, non-exclusive and non-transferable license to use Posse, the Platform and the Platform, subject to these T&Cs.
- Posse shall process Your Influencer Registration Form immediately; however, Posse has full liberty to accept or reject any applicant. You shall be informed of Posse’s acceptance (or otherwise) via email. On acceptance, You shall be assigned an Influencer account and You shall use the email address that you supplied upon registration.
- While Posse shall use reasonable endeavours to asses and vet the suitability of Brands, Posse does not assume any responsibility for any acts (or omissions) of the Brands.
Payment
All Influencer Opportunities are assumed to be paid as per the influencer rate card, unless otherwise agreed with the brand.
Marketing Material
Posse may, from time to time, create case studies to be used as marketing material. The marketing will be based on the profiles You created and any Influencer Opportunities You have submitted through your account on our Platform. We will not disclose any sensitive or personal information and the case study created will be confirmed and agreed upon together.
Account Termination
In the event that You wish to cancel Your account, send an email with the subject line ‘Account Termination Request’ within the app. Please note that should You be participating in an active Influencer Opportunity, Your account can only be terminated following the end of the campaign(s) and once all administration related to that campaign, including but not limited to the requirements you committed to in the application process, have been closed. Upon any termination, discontinuation or cancellation of Your account, all provisions of these terms which by their nature should survive will survive. Posse also has the right to terminate Your Influencer Account for any reason, should we deem fit. The reasons for our termination of Your account include but are not limited to breach of Posse T&Cs or any breach of relevant applicable laws.
Terms Updates and Changes
It is the right of Posse to change, update and amend these T&Cs as and when we see fit. We will inform You at any time that we amend and/or update these T&Cs. You will be notified via the email address that You have provided upon registration. In default of any objection from Your part within the app within 48 hours from such notification it shall be deemed that You have accepted any such amendments, updates, additions or changes to the T&Cs. It is Your responsibility to inform us of any change Your email address by updating Your profile.
Ownership
Posse, the Platform and all intellectual property related thereto including the getup, logos, Platform, front-end software, back office and operational software are intellectual property belonging exclusively to Posse. Nothing in these T&Cs grants You the right to ownership to any part of the Posse service or brand.
Limited Liability
Posse shall not be liable for any non-availability of the Platform, data, Platform or servers used in connection with the Platform if such is not caused by or resulting directly from wilful neglect or gross negligence of the Licensor. Posse and/and/or any of its directors, officers, employees, agents or consultants shall not be liable in any event for:
- any indirect or consequential loss or damages, except when caused by the gross negligence of the Posse
- any loss of opportunity, goodwill, revenue, profit or anticipated earnings, arising out of or in any way in connection with the use of the Platform in accordance with these T&Cs or the use or performance of Posse (including in the event of Platform failure)
You acknowledge that from time to time, as a result of hardware failure and/or supplier failures, the services provided by Posse under these T&Cs may be temporarily disrupted. You acknowledge and accept that neither Posse nor any of its members, shareholders, directors, officers, employees or representatives, as applicable, will be liable to You for any direct, special, indirect, consequential, punitive or exemplary damages, or damages for loss of profits or savings, in connection with these temporary disruptions.
General Limitation
While reasonable efforts are made by Posse to ensure suitability of Influencers and/or Brands, Posse shall in no way be liable for any action or omission of such Influencers and/or Brands in general. Influencers and/or Brands undertake not to post any offensive or incorporate images or content that is in any way harmful, threatening, obscene, harassing or racially, ethnically objectionable, or promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age, and Influencers and/or Brands assume full legal responsibility for any such posts. By using the platform, You are being provided links to external Platform by third parties such as Influencers. We have no control over the Platforms You provide and cannot guarantee their accuracy. You are accessing such Platforms at Your own risks. Influencers and/or Brands hereby fully indemnify Posse and hold Posse harmless for any damages it may suffer in the event of any breach of these T&Cs by the Influencers and/or Brands.
Definitions
- Brand – Any individual, person or corporate who registers and creates an account with the platform through the ‘Brand’ registration form will be referred to as a ‘Brand.’ Our definition of a brand is any organisation, company or individual who represents a brand, whether product or service based. Marketing agencies are also invited to sign-up and use the platform service under the brand registration.
- Influencer Opportunity – Through the Posse Platform, a brand had the ability to create an Influencer Opportunity. An Influencer Opportunity includes a set of instructions that interested Influencers will see and accept upon application. The Influencer, will in turn, produce content based on this and share with their audiences.
- User Account – Once an account has been created with the platform, You will receive a user account. Whether You profile is as a brand or an Influencer, You will be required to use these login credentials to access the platform.
